*ARTICLE I: NAME


The name of this organization is the CENTRAL CAROLINA MOPAR CLUB (CCMC)
located in Chapin, Lexington County, South Carolina. The premier MOPAR club
of central South Carolina.


*ARTICLE II: ARTICLES OF ORGANIZATION


This organization exists as a "sponsored organization". Its "Articles of
Organization" comprise these by-laws, as from time to time amended, and its
articles of association, if any. In the absence of separate articles of
association, the By-laws shall be deemed to be the articles of association.
In the event of any conflict between these By-laws and articles of
association, these by-laws shall take precedence.


*ARTICLE III: MISSION OBJECTIVE (PURPOSE)


The purpose of CCMC is to promote the enjoyment and preservation of
Chrysler built/Chrysler powered vehicles from any time period. A family
oriented organization whose goal is to foster fellowship among those with
similar interests by scheduling of social events, sharing of technical
information, helping others with projects and working to open all available
channels to achieve these goals.


*ARTICLE IV: BASIC POLICIES

The following are basic policies of this organization:

a) The organization shall be noncommercial, nonsectarian and
nonpartisan.

b) The name of the organization or the names of any members in their
official capacities shall not be used in any connection
with a commercial concern or with any partisan interest or for
any purpose not appropriately related to promotion of the Mission
Objective of the organization without written permission
of the Executive Committee.

c) The organization shall not, directly or indirectly, participate or
intervene in any political campaign on behalf of, or in
opposition to, any candidate for public office, or attempting to
influence legislation by propaganda or otherwise unless
directly related to the Mission Objective.

d) The organization shall work toward the preservation of Chrysler
built/ Chrysler powered vehicles of any age and promoting
fellowship among those having similar interests.

e) Members must at all times represent Central Carolina Mopar
Club (CCMC) in a positive and professional manner.

f) Whenever there is a breach or violation of the By-laws afore stated,
is an offense against the Basic policies of the organization, and must be
promptly dealt with. Any member of the organization that fails to abide by
the Basic Policies and is reported to the President is subject to dismissal
based on the conclusion of the investigation held by the Executive
Committee.

g) In the event of the dissolution of the organization, its assets,
after any and all expenses are paid shall be contributed to a
non-profit charitable organization.


*ARTICLE V: MEMBERSHIP AND DUES ##


Section 1: Every individual who is a member of Central Carolina Mopar Club
(CCMC)
is, by virtue of the By-laws of the organization entitled to all benefits of such
membership.

a) The Member is the person whose name appears on the application form
and whose annual dues have been received by the Treasurer.
The member may hold any elected office, serve on any committee
(standing or Ad Hoc), may cast a single vote on motions brought up at any
meeting attended and may participate in all functions and
activities of the organization.

b) An Associate Member is any person(s) of the same household of the
Member and have the same rights and privileges as a Member so
described above, excluding the voting privilege of the Member.
The Associate Member may vote by proxy in the event of the
Members absence.

c) An Honorary Membership is bestowed upon any individual nominated and
approved by the Executive Committee. This is a mark of honor or compliment
without cost to the individual. Honorary Membership is considered to be a
lifetime membership, to include all rights and privileges of a Member
excluding the voting privilege.

d) A Charter Member is one of the ten (10) members who formed ##
Central Carolina Mopar Club on Tuesday November 13, 2007. They are:
Jerry Lebar, George Murray, Donald Bennett, Lou Eyman, Troy
Dobson,Jim Ridge, Jeff Eaton, Mike Lavigne, Chad Bolles, and Mark
Swygert.

Section 2: Membership in Central Carolina Mopar Club shall be made
available without regard to race, color, creed or national origin, under
such rules and regulations, not in conflict with the Provisions of
these By-laws to any individual who subscribes to the Mission Objectives and
Basic Policies of the organization. The Executive Committee reserves the
right to deny membership to any individual that doesn't meet
committee standards.

Section 3: All Membership applications must be in writing on provided
forms and reviewed/approved by the Executive Committee. There
will be a 30 day probation period until Executive Committee approves
membership.

Section 4: Prospective Members can receive an application from either a
Sponsor Member or the official club website. Applicant may
complete the application and return it to a Sponsor Member or submit via the
website. Membership dues will be paid at time of application.

Section 5: Each Member of the organization shall pay annual dues in the
amount determined at the December annual meeting. Members whose
dues are not paid within 60 days of membership anniversary will be
considered delinquent and will not be entitled to benefits of membership.

a) Charter Members shall renew their membership in the month of
November.

b) Non Charter members shall renew their membership on
the anniversary month of their initial application.

*ARTICLE VI: OFFICERS AND THEIR ELECTION

Section 1:


a) the officers of this organization will consist of a President
Vice President, secretary and Treasurer.

b) Officers shall be elected by ballot annually in the month of
November. If there is but one nominee for a position that persons name
will still be entered on the ballot.

c) Officers shall assume their official duties beginning Jan 1st, and
shall serve for a term of one (1) year or until the qualification
and election of their successor.

d) A person shall not be eligible to serve more than two (2) consecutive
terms in the same office.

Section 2:
a) Nominations for officers will be acceoted at the October general meeting.
The Executive Committee will approve all nominations. The election committee
will create a ballot form from the accepted nominations to present at the
November general meeting.

b) the majority vote of the members at the November meeting will select
the officers for the next year Results of the election
will be announced at the December annual meeting.

Section 3: A vacancy occurring in any office shall be filled for the
unexpired term by a person elected by a majority vote of the Executive
Committee, notice of such election having been given. In case a vacancy
occurs in the office of the President, the Vice President shall assume
the office of the President and notice of election shall be given to replace
the Vice Presidents position.


ARTICLE VII: DUTIES OF OFFICERS


Section 1: The President shall preside at all meetings of the
organization at which he must be present and ensure the
By-laws of the organization are enforced and obeyed. He
shall perform other duties as may be prescribed in the By-laws or
assigned to him by the organization or by the Executive
Committee, and shall coordinate the work of the officers and
committees or the organization in order that the Mission objectives
will be promoted. The President is the official Public Relations
Representative of the organization. The President,
or in his absence, the Secretary, shall cosign for all
expenditures of the organization.

Section 2: The Vice President shall act as an aid to the President and
shall perform the duties of the President in their absence. The Vice
President shall assume the duties of the President if that office is vacated.

Section 3: The Secretary shall maintain an accurate record of the minutes
of all meetings of the organization and the quarterly
Executive Committee meeting and shall perform other duties as may be
delegated. The Secretary shall procure any needed office supplies deemed
necessary for official use of the organization. In the event the President or the
Treasurer is unable to cosign for the organization expenditures, the Secretary
is authorized to be the second cosigner in their absence. The Secretary shall
issue membership cards as notified by the chairperson of the Membership
Committee.

Section 4: The Treasurer shall have custody of all funds of the
organization, shall keep a full and accurate account of receipts and
expenditures, shall make disbursements, which will be cosigned by the
President, or his designated representative. Per the By-laws , as
authorized by the organization or the Executive Committee. The
Treasurer shall present a financial report at every
general meeting or when requested by the Executive Committee and shall
make a full report at the annual meeting in December. The Treasurer shall
be responsible for the maintenance of such books of accounts and records as
to conform to the requirements of the By-laws. The Treasurers books will be
examined annually by the Executive Committee. A panel of no less than
three persons will review and sign that the books are correct prior to the
annual December meeting. See addendum relating to accounting functions
by sponsor.

Section 5: All officers shall :

a) Perform the duties prescribed in parliamentary authority in addition
to those described in these By-laws.

b) Deliver to their successor all official material relating to their
position at the annual December meeting.

c) Be present at the quarterly executive Committee meetings.


*ARTICLE VIII: EXECUTIVE COMMITTEE ##


Section 1: The Executive Committee consists of the ten (10) Charter ##
Members of Central Carolina Mopar Club. These are permanent
positions held until resignation from the club. An Executive Committee
member may not hold membership in another local Mopar club due to conflict
of interest, however Executive Committee members may hold membership in a
National Mopar Club. Committee members must remain "active" with all club activities.

Section 2: The duties of the Executive Committee shall be:

a) Maintain oversight of the organization, to include financial.

b) The committee will have final approval on all organization actions.

c) Create standing committees and approve their work.

d) Appoint three member panel to review financial records prior to
annual December meeting.

e) Review prospective membership applications and present to the
membership all approved applications.

f) Will investigate any reported violation of Basic Policies by a
Member, and report findings to the membership if findings are valid and
membership review is warranted. The Executive Committee is responsible for
determining if the offending Members membership should be terminated. This
will be determined by secret ballot of the Executive Committee.

Section 3: Regular meetings of the Executive Committee shall be held
quarterly at a time to be established by the committee. A majority of
the Executive Committee members shall constitute a Quorum. Special
meetings of the Executive Committee may be called by request of a
committee member or if requested by the President.


ARTICLE IX: MEETINGS


Section 1: Regular monthly meetings of the organization are scheduled for
the second (2nd) Thursday of each month unless notified by the
organization or the Executive Committee. Three days notice will be given
for change of date.

Section 2: Special meetings may be called by the Executive Committee.
Three days notice will be given.

Section 3: The annual meeting will be held in December.

Section 4: Five (5) Members shall constitute a quorum for the transaction
of business at any regular or special meeting of this organization.


ARTICLE X: STANDING AND SPECIAL COMMITTEES


Section 1: The Executive Committee may create standing committees as it
may deem necessary to promote the Mission Objective of the
organization. The term of each chairperson shall be one (1) year or until the
qualification and selection of their successor.

Section 2: The chairperson of each standing committee shall select from
the membership those individuals necessary to coordinate
and assist with the assigned project (s).

Section 3: The President shall be the a member "exofficio" of all
committees except the nominating committee.


*ARTICLE XI: AMENDMENTS TO BY-LAWS


Section 1: These By-laws may be amended at any regular meeting of the
organization by a three quarters (¾) majority vote of the members
present, provided that notice of the proposed amendment shall have been given
at the previous meeting and the proposed amendment was approved by the
Executive Committee.

Section 2: A committee may be appointed by the Executive Committee to
submit a revised set of By-laws as a substitute for the
existing By-laws only by a three quarters (3/4) majority vote of the Executive
Committee. The requirements for adoption of a revised set of By-laws
shall be the same as in the case of an amendment.

Section 3: The adoption of an amendment to any provision of these
By-laws identified by a star shall automatically be incorporated into the
By-laws by the organization.

Section 4: The fiscal year for the club begins on Jan 1st and ends
December 31st. Roberts Rules of Order will preside.

Section 5: These By-laws were approved at a regular meeting of the
Central CarolinaMopar Club on the 10th day of January 2008.

Brief summary of Club Partnership

Galeana Chrysler Jeep Inc wishes to help create, sponsor, promote, and
support a Mopar Owner Club. We wish to provide Mopar enthusiasts a simple
and STABLE club environment for all midlands owners by providing all
business functions of the club. We wish to prevent the wasted effort, time,
and money spent on our previous club sponsorship by making this club an
integral part of our operations. Our desire is to have this club also
promote Galeana Chrysler Jeep Inc as the premier place to obtain all Mopar
parts, accessories, and vehicles.


Galeana provides the Club;
All printed materials
§ Expanded Web site with membership management for officers.
§ Telephone broadcasts to members to remind promote events.
§ Promotional items for events
§ Membership kit
§ Mailing costs
§ All accounting functions with monthly reporting
§ Additional funding for business brought by the club to Galeana
§ Discounts on all our services exclusive to club members
§ Membership drive events at Galeana using our new telephone
technology. Cruise ins-Charity functions-Car clinics etc
§ Tech support for Club Members

We ask in return;
§ The club will not seek sponsorship or activity at competitive
Chrysler dealers
§ The club maintains a positive relationship with Galeana.
§ The club seeks to promote and do business with Galeana.
§ The club maintains monthly "fun" functions desirable by all Mopar
Owners.
§ The club does not present itself to the members or public in a manner
that would detract from a positive image for the club or Galeana Chrysler
Jeep Inc. Galeana management will have a say here. I have no thoughts that
this will be a problem based on past club activities.
§ The club works to maintain membership growth.

It is our desire that this will be a long and positive partnership between
the club and Galeana Chrysler Jeep Inc creating growth for both. If it does
not accomplish this, then the partnership will cease by failure of the club
to maintain membership or by cancellation of the agreement by Galeana
Chrysler Jeep Inc with minimum 30 days notice. Galeana does not desire to
have direct control of the club functions other than specified above.

I was asked what happens if Galeana is sold or we cancel sponsorship. I
really have no firm thoughts here. Since it is our objective to create a
stable club, I think the club sponsorship should be offered to new owners.
If they have no desire or we cancel for other reasons my feeling would be
that the club would be issued a check for all amounts held in the account
and the club could then take over its own functions and continue on. I am
open to club thoughts on how to better accomplish this.
